Purchase Terms & Conditions

1. All orders for goods placed by Buyer shall be subject to these Terms and Conditions.

2. In these Conditions, the following words and phrases shall have the meaning as follows:

  • “Buyer” shall mean SAS International Limited
  • “Seller” shall mean the supplier of goods and/or services upon whom the Buyer shall have placed an order.
  • “Order” shall mean an order placed by the Buyer upon the Seller for the supply of goods and/or services to these Terms and Conditions.
  • “Goods” shall mean goods and/or services.

3. The goods shall be delivered to the Buyer’s premises or such other premises that the Buyer shall designate by the date agreed with the Seller and referred to in the Order.

4. The Seller shall ensure that, with the goods, he shall deliver to the Buyer a Delivery Note which shall quote the Buyer’s order number and details of the goods delivered.

5. The Buyer reserves the right to reject goods which shall not be delivered upon the delivery date.

6. Delivery times must be pre-arranged with the Buyer’s Goods Inwards Department and shall take place between the hours of 8.30am and 3.30pm Monday to Thursday, Friday 8.30am to 12.00 noon, excluding UK Bank Holidays/Public Holidays.

7. For delivery to third persons the following procedure should be followed:

(a) On completion of the job, the Seller should refer to SAS International to confirm and obtain written delivery instructions.

(b) A copy delivery advice note should be faxed to SAS International on the date of despatch (or posted if no fax available).

8. Should there be any discrepancy between the goods delivered and the goods ordered, the Buyer reserves the right to reject the whole of the goods at his option or to accept such of the goods which are in accordance with the order, subject to the delivery of the balance of the goods within 24 hours.

9. Should the goods scheduled for delivery be delayed at the suppliers site, the Buyer reserves the right to charge for any special collection / delivery service required.

10. If the goods delivered are subject to any damage, the Seller will immediately replace the damaged items and deliver the same to the Buyer within 48 hours.

11. The Seller warrants that the goods delivered shall be of merchantable quality free from any defects and fit for the purpose intended.

12. The Seller providing services on the Buyer’s (or third party) premises shall obtain adequate insurance cover for damage or injury caused during the course of his activities.

13. The Seller acknowledges that the Buyer is entering into this order in reliance upon the representations made by the Seller.

14. An Order shall not be capable of acceptance unless the same shall be in writing on Buyer’s printed and duly authorised order form.

15. Any variations to the terms of the order shall not be effective unless agreed to in writing by Buyer’s authorised representative.

16. The Buyer shall be entitled to such discounts for early settlement and volume orders as shall be agreed with the Seller.

17. The Seller confirms that property and title in the goods shall vest in Buyer when they are delivered and thereafter the Seller shall have no lien, charge or other interest over or in respect of the goods.

18. Provided the goods are delivered to the Buyer in accordance with the terms of the Order and these Conditions, payment therefore shall become due on the 60th day following the date of the invoice.

19. The governing law shall be the laws of England.

20. Disputes shall be settled by reference to arbitration of an arbiter appointed by agreement by both parties or alternatively, failing agreement, as nominated by the President for the time being of the Law Society of England and Wales.

Special Delivery Instructions

For delivery to third parties please note the following:

1. On completion of the job, the Supplier shall refer to SAS International to confirm and obtain written delivery instruction.

2. The delivery advice note should quote the SAS International purchase order number.

3. A copy delivery advice note shall be faxed to SAS International on date of despatch (or posted if no fax available).
